ASCENT Membership Terms, Conditions, Waiver & Release:
Your studio-e, L.L.C. and Earn, L.L.C. and its subsidiaries and affiliates (“ASCENT”) provides experiences, events and services "as is", and disclaim all warranties and conditions, whether express, implied or statutory, including, but not limited to, merchantability, fitness for a particular purpose or use. The entire risk of participating in any ASCENT experiences, events or using its services remains (collectively “Community”) with you. You hereby accept these ASCENT Membership Terms, Conditions, Waiver & Release (“ASCENT Membership Terms”) and acknowledge that these ASCENT Membership Terms may be amended by ASCENT, from time to time.
Acknowledgment: By registering and/or participating in the ASCENT Community, you acknowledge that you have read, understood, and agree to all terms outlined in these ASCENT Membership Terms:
1. General Information Disclaimer: The content and experience provided within the Community, including but not limited to presentations, discussions, events and materials, is for general informational purposes only. It does not constitute professional legal, medical, accounting or other advice. You are encouraged to seek advice from qualified professionals for specific issues.
2. No Professional Relationship: Attendance in the Community does not establish a professional-client relationship between you and any speaker, guide, presenter, or organizer. The opinions expressed by the speakers are their own and do not necessarily represent those of the ASCENT organizers.
3. Assumption of Risk: You acknowledge that participation in the Community is voluntary and that there may be inherent risks, including but not limited to physical, emotional, or psychological injury. By attending, you voluntarily assume all risks associated with your participation.
4. Release of Liability: To the fullest extent permitted by law, you hereby release, waive, and discharge the Community organizers, sponsors, speakers, and any affiliated entities or individuals from any and all liability, claims, demands, or causes of action, whether known or unknown, arising out of or related to your participation in the Community.
5. Medical Emergencies: In the case of a medical emergency during any event with the Community, you consent to receive necessary medical treatment. You further agree to release the ASCENT and third party organizers and their agents from any liability related to the provision of such medical treatment.
6. Changes and Cancellations: The ASCENT organizers reserve the right to modify, reschedule, or cancel any events at any time without prior notice. The ASCENT organizers are not liable for any inconvenience or expenses incurred as a result of such changes.
7. Photography and Recording: By attending any experience and/or event within the Community, you consent to the use of your image and/or voice in any photographs, recordings, or other media captured during such experiences and/or events for promotional or educational purposes by the ASCENT Community.
8. Materials Ownership and Use: You agree that any public reproduction, presentation, distribution, transmission or commercial use (e.g., training) by you of the concepts, strategies, methods, practices, experiences, materials, concepts, data, discussions, website or information provided at or in conjunction with the ASCENT Community (collectively “Materials”) is prohibited. The Materials are licensed on a limited basis to each member for their individual personal use. The Materials (including trademarks, copyrights, and other intellectual property) presented at or in conjunction within the ASCENT Community are owned (or licensed) by ASCENT. You agree to not use such Materials in any public media, or for the benefit of any third party now known or hereafter, without the express written permission of ASCENT.
9. Personal Information. You understand that ASCENT does not rent, sell or otherwise disclose personal information (except within its Community) about its members to third parties, and will use its best efforts to protect their personal information against loss and unauthorized use.
10. DAMAGES LIMITATION & INDEMNITY. IN NO EVENT SHALL ASCENT OR ITS AGENTS, OWNERS, MEMBERS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER {INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY (INCLUDING OF GOOD FAITH OR OF REASONABLE CARE), NEGLIGENCE, AND ANY OTHER LOSS} ARISING OUT OF OR IN ANY WAY RELATED TO ASCENT COMMUNITY, SERVICES, EXPERIENCES, PROGRAMS, CONTENT OR OTHERWISE.
NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER, THE ENTIRE LIABILITY OF ASCENT OR ITS AGENTS, OWNERS, THEIR AGENTS, CONTRACTORS, MEMBERS, OR EMPLOYEES, AND YOUR EXCLUSIVE REMEDY FOR ALL THE FOREGOING SHALL BE LIMITED TO ACTUAL DAMAGES INCURRED BY YOU NOT TO EXCEED ONE HUNDRED US DOLLARS $100.00. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE. YOU ALSO RELEASE, AND AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS ASCENT, ITS AGENTS, OWNERS, MEMBERS, EMPLOYEES, LANDLORD AND CONTRACTORS, FROM AND AGAINST ALL CLAIMS, LIABILITIES, LOSSES, DAMAGES, EXPENSES, JUDGMENTS, FINES AND PENALTIES BASED ON OR ARISING OUT OF YOUR NEGLIGENT ACTIONS, ERRORS AND OMISSIONS, WILLFUL MISCONDUCT AND FRAUD, BREACH OR VIOLATION OF THE ASCENT MEMBERSHIP TERMS (WHICH MAY BE AMENDED BY ASCENT FROM TIME TO TIME) OR OTHERWISE SUFFERED IN CONNECTION WITH YOUR PARTICIPATION IN THE ASCENT COMMUNITY.
